Kausar Dwi Kusuma, S.H. M.H., or Kausar is an Indonesian qualified lawyer specializing in Capital Market, Dispute Resolutions or Litigations, General Corporate Matters and Permits. Kausar holds Bachelor of Law degree (S.H.) from Universitas Brawijaya and a Master of Law degree (M.H.) from Universitas Indonesia. He holds STTD from OJK and able to assist or any transactions in relation to capital market.

Capital Market

  • Representing and advising on the acquisition of a publicly-listed technology company by a Singaporean holding company, which involved a Mandatory Tender Offer (MTO) and a Reverse Takeover (RTO) with a transaction value of IDR 3.3 trillion.
  • Successfully acted as legal counsel for a major Indonesian regional bank in its complex capital raising exercise, advising on an IDR 317 billion Rights Issue within a broader IDR 1.7 trillion strategic transaction framework.
  • Advised a Regional Development Bank on its strategic IDR 250 billion transaction to establish a Bank Business Group (KUB) with a prominent, publicly listed Regional Development Bank (BPD Tbk) acting as the controlling entity.
  • Advised a leading Indonesian EdTech (education technology) company on its comprehensive corporate restructuring. The engagement involved advising on its shareholding structure, the implementation of a USD 947,000 debt-to-equity swap, and the establishment of its strategic holding company in Singapore.
  • Advised a major Mongolian-based investor on its proposed market entry and investment preparations for Indonesia’s highly-regulated explosives sector. Our scope included reviewing potential strategic cooperation schemes with local business partners.

Merger & Acquisition

  • Representing and advising a carbon capture company regarding an acquisition transaction by one of the largest energy companies in Indonesia, concerning the negotiation of said acquisition transaction.
  • Providing legal advice to an Indonesian technology company regarding corporate restructuring.
  • Providing legal advice and reviewing documents for a regional bank in Indonesia for the establishment of a Bank Business Group of PT Bank Pembangunan Daerah Bengkulu and PT Bank Pembangunan Daerah Jawa Barat dan Banten. This transaction aims to comply with regulations set by the Financial Services Authority.
  • Representing an education technology (edutech) startup company concerning shareholder restructuring and novation in the implementation of a convertible notes agreement.
